Indemnity

No Class Actions. Further, unless both you and www.raulluna.com agree otherwise in a signed writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. You agree that, by agreeing to these Messaging Terms, you and www.raulluna.com are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, YOU AGREE THAT IN NO EVENT SHALL EITHER OF www.raulluna.com OR ANY PARTY ACTING ON BEHALF OF www.raulluna.com BE LIABLE FOR: (A) ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES OR COSTS IN AN AGGREGATE AMOUNT EXCEEDING THE GREATER OF THE AMOUNT YOU PAID TO www.raulluna.com HEREUNDER OR $100.00; OR (B) ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE OR ANY OTHER DAMAGES. YOU AGREE EVEN IF www.raulluna.com HAS BEEN TOLD OF POSSIBLE DAMAGE OR LOSS ARISING OR RESULTING FROM OR IN ANY WAY RELATING TO YOUR USE OF THE www.raulluna.com MESSAGING PROGRAM. www.raulluna.com AND ITS REPRESENTATIVES ARE NOT LIABLE FOR THE ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING BUT NOT LIMITED TO DELAYS OR NON-DELIVERY IN THE TRANSMISSION OF MESSAGES.

Indemnity

To the maximum extent allowed by applicable law, you agree to indemnify, defend and hold harmless www.raulluna.com, its directors, officers, employees, servants, agents, representatives, independent contractors and affiliates from and against any and all claims, damages, liabilities, actions, causes of action, costs, expenses, including reasonable attorneys’ fees, judgments or penalties of any kind or nature arising from or in relation to the these Messaging Terms or your receipt of text messages from www.raulluna.com or its service providers.

Dispute Resolution
General. Any dispute or claim arising out of or in any way related to these Messaging Terms or your receipt of text messages from www.raulluna.com or its service providers whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of when a dispute or claim arises will be resolved by binding arbitration. YOU UNDERSTAND AND AGREE THAT, BY AGREEING TO THESE MESSAGING TERMS, YOU AND www.raulluna.com ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION AND THAT THESE MESSAGING TERMS SHALL BE SUBJECT TO AND GOVERNED BY ARBITRATION.

Exceptions. Notwithstanding subsection (a) above, nothing in these Messaging Terms will be deemed to waive, preclude, or otherwise limit the right of you or www.raulluna.com to: (i) bring an individual action in small claims court; (ii) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (iii) seek injunctive relief in aid of arbitration from a court of competent jurisdiction; or (iv) file suit in a court of law to address an intellectual property infringement claim.

Arbitrator. Any arbitration between you and www.raulluna.com will be governed by the JAMS, under the Optional Expedited Arbitration Procedures then in effect for JAMS, except as provided herein. JAMS may be contacted at www.jamsadr.com. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement.
No Class Actions. YOU AND www.raulluna.com AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and www.raulluna.com agree otherwise in a signed writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. You agree that, by agreeing to these Messaging Terms, you and www.raulluna.com are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or other representative proceeding of any kind.

No Class Actions. YOU AND www.raulluna.com AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and www.raulluna.com agree otherwise in a signed writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Modifications to this Arbitration Provision. Notwithstanding anything to the contrary in these Messaging Terms, if www.raulluna.com makes any future change to this arbitration provision, you may reject the change by sending us written notice within 30 days of the change to www.raulluna.com’s contact information provided in the “Contact Us” section below, in which case this arbitration provision, as in effect immediately prior to the changes you rejected, will continue to govern any disputes between you and www.raulluna.com.

Enforceability. If any provision of these Messaging Terms is found to be unenforceable, the applicable provision shall be deemed stricken and the remainder of these Messaging Terms shall remain in full force and effect.

Changes to the Messaging Terms

We reserve the right to change these Messaging Terms or cancel the messaging program at any time. By using and accepting messages from www.raulluna.com after we make changes to the Messaging Terms, you are accepting the Messaging Terms with those changes. Please check these Messaging Terms regularly.

Entire Agreement/Severability

These Messaging Terms, together with any amendments and any additional agreements you may enter into with us in connection herewith, will constitute the entire agreement between you and www.raulluna.com concerning the Messaging Program.

TERMS AND CONDITIONS

1. DEFINITIONS.

For purposes of this Agreement:

1.1 “Client” means the natural person who or which executed the Program Registration Form.

1.2 “Effective Date” means the date on which Provider accepted payment of the Program Fee by Client.

1.3 “Provider” means Raul Luna Academy, LLC.

1.4 “Program” means the program or programs selected by Client in the Select Program section of the Program Registration Form.

1.5 “Program Fee” means the fee associated with the Program, paid by Client in exchange for the Services.

2. SERVICES.

2.1 Provider will provide the services (“Services”) associated with the Program as described in the Program Details section of the Program Registration Form.  Provider will have sole discretion in respect to the execution of the Services, including the timing, scheduling, duration, content, and means for delivering the Services, as well as any reasonable limitations imposed on the Services.  In the event of any dispute or question regarding the description or nature of the Services, Provider’s reasonable interpretation will prevail.

2.2 Provider makes no representation or warranty whatsoever with respect to the Program or its content, the Services, or the results to be obtained from Client’s participation in the Program. In particular, Provider disclaims any representation or warranty with respect to the future earnings or revenues of Client and Client acknowledges and agrees that Client was not induced to enter into this Agreement as a result of any such claims.

3. FEE.

3.1 The Client will not be entitled to any Services or any rights hereunder until Client has received the Program Fee.

3.2 CLIENT ACKNOWLEDGES AND AGREES THAT ALL PAYMENTS OF THE PROGRAM FEE ARE NON-REFUNDABLE AND NON-TRANSFERABLE.

3.3 CLIENT REPRESENTS AND AGREES THAT CLIENT WILL NOT DISPUTE PAYMENT OF THE PROGRAM FEE WITH ANY CREDIT CARD COMPANY OR OTHER FINANCIAL.

4. CLIENT’S OBLIGATIONS.

4.1 Client shall:

4.1.1 Accept the schedule for all live meetings and events reasonably submitted by Provider.

4.1.2 Punctually attend all meetings and events scheduled by Provider.

4.1.3 Possess all hardware, software and communications equipment necessary to obtain and fully enjoy the Services.

4.2 Provider will have no obligation to modify or duplicate any Services which Client fails to obtain or fully enjoy on account of Client’s failure to strictly adhere to Section 4.1, above.

5. INTELLECTUAL PROPERTY. Client is not entitled to any interest or title in, or right to use, either during the Term or upon the termination of this Agreement, any intellectual property owned by or licensed to Provider.

6. CONFIDENTIALITY.  Client may receive information that is proprietary or confidential to Provider.  Client agrees to hold such information in strict confidence and not to disclose or use such information for any purpose whatsoever other than performing under this Agreement or as required by law. Proprietary and confidential information does not include information of Provider that was or becomes in the public domain through no fault of Client or is disclosed by Provider to a third party without an obligation of confidentiality.

7. RELATIONSHIP OF THE PARTIES. Provider’s relationship with the Client will be that of an independent contractor and nothing in this Agreement will be construed to create a partnership, joint venture, or principal-agent or employer-employee relationship.  Provider will remain free to perform any services for parties other than Client even if those services are similar or identical to the Services. RaulLuna.com Academy is a service provided by Raul Luna Academy, LLC and is not itself a separate or distinct. Neither this Agreement nor the transaction which is the subject matter hereof, operates to impose any obligation on any Person other than Raul Luna Academy, LLC and Client.

8. TERM AND TERMINATION.

8.1 The term of this Agreement will commence on the Effective Date and terminate 12 months thereafter (“Term”).

8.2 No Services will be available to Client after the termination of the Term.

8.3 Sections 4-10, 11.5 and 11.6 shall survive the expiration or termination of this Agreement.

9. LIMITATION OF LIABILITY.

9.1 Client acknowledges and agrees that Provider will not be liable for Client’s or any other person’s use of any content from the Program or any matter related, directly or indirectly, to the Program or the Services. In no case shall Provider, its directors, officers, employees, affiliates, agents, contractors, attorneys, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, economic loss, loss or damage to electronic media or data, goodwill, other intangible losses, or any similar damages, in any way arising from or related to (i) the use of any content obtained through the Program or content otherwise related to the Program or the Services provided under this Agreement, (ii) attendance at any event hosted by Provider, (iii) the Services.

9.2 CLIENT HEREBY AGREES THAT IN NO EVENT SHALL PROVIDER’S LIABILITY TO CLIENT FOR ANY CLAIM OF ANY KIND OR DESCRIPTION EXCEED THE PROGRAM FEES PAID BY CLIENT TO PROVIDER IN THE SIX MONTHS PRECEDING THE FACTS GIVING RISE TO ANY CLAIM BY CLIENT.

10. CHOICE OF LAW, MANDATORY MEDIATION, ARBITRATION AND PREVAILING PARTY COSTS AND FEES

10.1. Choice of Law:  This Agreement shall be governed and construed in accordance with the laws of the state of Florida, excluding Florida’s choice of law principles, and all claims relating to or arising out of this Agreement, or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed by the laws of the state of Florida, excluding Florida’s choice-of-law principles.

10.2. Agreement to Arbitrate: The parties agree that arbitration shall be the exclusive method by which to resolve any claims, and specifically agree that they will not file a court action to pursue any claims. THE PARTIES HEREBY WAIVE THE RIGHT TO PURSUE RESOLUTION OF ANY DISPUTE ARISING OUT OF OR RELATING TO THIS AGREEMENT, OR THE BREACH THEREOF, IN A COURT OF LAW, TRIAL BY JURY,  OR AN ADMINISTRATIVE OFFICE HAVING JURISDICTION OVER THE DISPUTE. INSTEAD, ANY DISPUTE MUST BE RESOLVED BY ARBITRATION AS SET FORTH IN THIS AGREEMENT.  Without limiting the enforceability of the agreement to arbitrate, if litigation arising out of this Agreement proceeds in a court of law, it must take place in the state and federal courts of the State of Florida located in Sarasota, Florida.

10.3. Prevailing Party Costs and Attorneys’ Fees: In the event of a claim being brought to enforce rights under this Agreement or arising from this Agreement, the prevailing party shall be entitled to recover costs and expenses, including, but not limited to, reasonable attorneys’ fees, incurred in asserting the successful claim. An arbitrator may award the prevailing party costs and attorneys’ fees.

10.4. Mandatory Negotiations and  Mediation: If a dispute arises out of or relates to this Agreement, or the alleged breach thereof, and if the dispute cannot be settled through direct negotiations between the parties within 60 days, the parties agree they must first attempt to resolve the dispute by mediation administered by JAMS Miami Mediation, Arbitration and ADR Services before resorting to arbitration as set forth in this Agreement. A request for mediation shall be made in writing, delivered to the other party to the Agreement, and filed with JAMS Miami Mediation, Arbitration and ADR Services. The parties will each be responsible for one-half of all fees related to the mediation.

10.5. Failure to Mediate and Waiver of Prevailing Costs and Fees: A failure by a party to mediate before initiating arbitration or attempting to initiate any other legal action will prevent that party from recovering prevailing party costs and/or attorneys’ fees.

10.6. Arbitration Procedure: The parties agree that any dispute arising out of or relating to this Agreement, or the breach thereof not resolved by direct negotiations or by mediation, shall be resolved solely by arbitration administered by JAMS Miami Mediation, Arbitration and ADR Services in accordance with JAMS Expedited Arbitration Procedures in effect at the time arbitration is initiated.

10.7. One Arbitrator: The arbitration will be conducted by one arbitrator.  The arbitrator will be selected by mutual agreement of the parties or, if such agreement cannot be reached, in accordance with the JAMS rules relating to selection of an arbitrator.

10.8. Judgment on Arbitration Award: A judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction over the dispute.  The parties understand the arbitration award is final and binding and that they are waiving their rights to appeal.

10.9. Arbitration Costs:  The parties will each be responsible for one-half of all fees related to the arbitration including those related to the cost of the arbitrator.

10.10. No Consolidation of Claims or Class Claims: Client agrees that any claim Client may have against Provider arising under, or in any way related to, this Agreement shall be brought individually, and Client shall not join such claim with claims of any other person or entity or bring, join or participate in a class action against Provider.  No Court or arbitrator shall have the authority to consolidate claims or certify a class of claims.

11. INDEMNIFICATION. Client agrees to indemnify, protect, defend and hold Provider (including its directors, officers, agents, and employees) harmless from and against any and all liabilities, damages, losses, actions, causes of action, costs and expenses (including attorneys’ fees), arising from or related to the Services. 

12. GENERAL.

12.1 No Election of Remedies.  Except as expressly set forth in this Agreement, the exercise by Provider of any of its remedies under this Agreement will be without prejudice to its other remedies under this Agreement or available at law or in equity.

12.2 Assignment.  Client may not assign or transfer any of Client’s rights or delegate any of Client’s obligations under this Agreement, in whole or in part, without the express prior written consent of Provider.  Any attempted assignment, transfer or delegation by Client, without such consent, will be void ab initio. Subject to the foregoing, this Agreement will be binding upon and will inure to the benefit of the parties’ permitted successors and assigns.

12.3 Amendment by Provider. Provider reserves the right to amend this Agreement at any time without the prior consent of Client. Any amendment to this Agreement, from time to time, shall be effective as of the earlier of the date of posting of the amendment on raulluna.com or upon the delivery of actual notice to Client.

12.4 Equitable Remedies.  Provider will have the right to enforce this Agreement and any of its provisions by injunction, specific performance or other equitable relief, in addition to all other remedies that Provider may have for a breach of this Agreement.

12.5 Severability. If any provision of this Agreement is held invalid or unenforceable by an arbitrator or court of competent jurisdiction, the remaining provisions of the Agreement will remain in full force and effect, and the provision affected will be construed so as to be enforceable to the maximum extent permissible by law.

12.6 Notices.  All notices required or permitted under this Agreement will be in writing and delivered by courier or overnight delivery service, or by certified mail, and in each instance will be deemed given upon receipt.  Notices addressed to Client shall be sent to Client’s mailing address as set forth in the Program Registration Form.  Notices addressed to Provider shall be sent to Raul Luna Academy, LLC, 5342 Clark Road #3108 Sarasota FL 34233. Each party may change its address for receiving notice by give notice of the change in accordance with this section.

12.7 Entire Agreement.  This Agreement, which is comprised of these Terms and Conditions and the Program Registration Form, constitutes the complete and exclusive understanding and agreement of the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral, with respect to the subject matter hereof.  Any waiver, modification or amendment of any provision of this Agreement will be effective only if in writing and signed by the parties hereto.

12.8 Waiver.  The waiver of any breach of any provision of this Agreement will not constitute a waiver of any subsequent breach of the same or other provision hereof.

12.9 Independent Advice. Client acknowledges and agrees that Client has been afforded the opportunity to obtain independent legal advice and confirms by the execution of this Agreement that Client has either done so or waived its right to do so in connection with entering into this Agreement.

12.10 English Version. In the event any translation of this Agreement is prepared for convenience or any other purpose, the provisions of the English version shall prevail.

Para efectos de este Acuerdo:

1.1. “Cliente” significa la persona natural que ejecutó el Formulario de Registro del Programa.

1.2. “Fecha de Vigencia” significa la fecha en la que el Proveedor aceptó el pago de la Tarifa del Programa por el Cliente.

1.3. “Proveedor” significa Raul Luna Academy, LLC.

1.4. “Programa” significa el programa o programas seleccionados por el Cliente en la sección

Seleccionar Programa del Formulario de Registro del Programa.

1.5. “Tarifa del Programa” significa la tarifa asociada con el Programa, pagada por el Cliente a cambio de los Servicios.

2. SERVICIOS.

2.1. El Proveedor proporcionará los servicios (“Servicios”) asociados con el Programa como se describe en la sección Detalles del Programa del Formulario de Registro del Programa. El proveedor tendrá la discreción exclusiva con respecto a la ejecución de los Servicios, incluyendo el horario, la programación, la duración, el contenido, y los medios para prestar los Servicios, así como cualquier limitación razonable impuesta al Servicios. En caso de cualquier disputa o pregunta sobre la descripción o naturaleza de los Servicios, prevalecerá la interpretación razonable del Proveedor.

2.2. El Proveedor no ofrece representación ni garantía alguna con respecto al Programa o su contenido, los Servicios o los resultados que se obtendrán de la participación del Cliente en el Programa. En particular, el Proveedor no ofrece ninguna representación o garantía con respecto a las futuras ganancias o ingresos del Cliente y el Cliente reconoce y acepta que el Cliente no fue inducido para entrar a este Acuerdo como resultado a ninguna representación o garantía.

3. TARIFA.

3.1. El Cliente no tendrá derecho a ningún Servicio ni a ningún derecho en virtud de este Acuerdo hasta que el Cliente haya recibido la Tarifa del Programa.

3.2. EL CLIENTE RECONOCE Y ACEPTA QUE TODOS LOS PAGOS DE LA TARIFA Del PROGRAMA NO ES REEMBOLSABLE NI TRANSFERIBLE.

3.3. EL CLIENTE REPRESENTA Y ACEPTA QUE EL CLIENTE NO DISPUTARÁ EL PAGO DE LA TARIFA DEL PROGRAMA CON NINGUNA EMPRESA DE TARJETAS DE CRÉDITO U OTRA INSTITUCIÓN FINANCIERA.

4. OBLIGACIONES DEL CLIENTE.

4.1. El cliente deberá:

4.1.1. Aceptar el horario de todas las reuniones y eventos en vivo que presente razonablemente Proveedor.

4.1.2. Asistir puntualmente a todas las reuniones y eventos programados por el Proveedor.

4.1.3. Poseer todo el hardware, el software y el equipo de comunicaciones necesario para obtener y tomar provecho plenamente de los Servicios.

4.2. El Proveedor no tendrá la obligación de modificar o duplicar los Servicios que el Cliente no obtenga o disfrutar plenamente debido a que el Cliente no se adhiere estrictamente a la anterior Sección 4.1.

5. PROPIEDAD INTELECTUAL. El Cliente no tiene derecho a ningún interés, título o derecho de uso, ya sea durante el Plazo o después de la terminación de este Acuerdo, cualquier propiedad intelectual que sea propiedad del Proveedor o que tenga licencia para sea propiedad.

6. CONFIDENCIALIDAD. El Cliente puede recibir información exclusiva o confidencial de Proveedor. El Cliente acepta mantener dicha información en estricta confidencialidad y no divulgar ni utilizar dicha información para ningún propósito que no sea el de cumplir con este Acuerdo o según lo requiera la ley. La información exclusive y confidencial no incluye información del Proveedor que fue o pasa a ser de dominio público sin culpa del Cliente o que el Proveedor divulga a una tercera parte sin obligación de confidencialidad.

7. RELACIÓN DE LAS PARTES. La relación del Proveedor con el Cliente será la de un contratista independiente y nada en este Acuerdo se interpretará como la creación de una sociedad, empresa conjunta o relación principal-agente o empleador-empleado. El Proveedor seguirá siendo libre de realizar cualquier servicio para terceras partes que no sean el Cliente, incluso si esos servicios son similares o idénticos a los Servicios. RaulLuna.com Academy es un servicio proporcionado por Raul Luna Academy, LLC y no es en sí mismo una persona natural o una entidad separada o distinta. Ni este Acuerdo ni el objeto del mismo operan para imponer ninguna obligación a ninguna Persona que no sea Raul Luna Academy, LLC y el Cliente.

8. PLAZO Y EXPIRACIÓN.

8.1. El plazo de este Acuerdo comenzará en la Fecha de vigencia y terminará 12 meses después de entonces (el “Plazo”).

8.2. Ningún Servicio estará disponible para el Cliente después de que termine el Plazo.

8.3. Las Secciones 4-10, 11.5 y 11.6 sobrevivirán a la expiración de este Acuerdo.

9. LIMITACIÓN DE RESPONSABILIDAD.

9.1. El Cliente reconoce y acepta que el Proveedor no será responsable por el uso por el Cliente o cualquier otra persona de cualquier contenido del Programa o cualquier asunto relacionado, directa o indirectamente, con el Programa o los Servicios. En ningún caso serán el Proveedor, sus ejecutivos, funcionarios, empleados, afiliados, agentes, contratistas, abogados, proveedores, prestadores de servicios o licenciatarios responsables por cualquier lesión, pérdida, reclamación o cualquier daño directo, indirecto, incidental, punitivo, especial o consecuente daños de cualquier tipo, incluyendo, entre otros, pérdidas económicas, pérdidas o daños a información o datos electrónicos me, fondo de comercio, otras pérdidas intangibles o cualquier daño similar, de cualquier manera que surja de o relacionado con (i) el uso de cualquier información obtenido a través del Programa o información de otra manera relacionados con el Programa o los Servicios proporcionados en virtud de este Acuerdo, (ii) asistencia a cualquier evento organizado por el Proveedor, (iii) los Servicios.

9.2. EL CLIENTE ACEPTA QUE EN NINGÚN CASO EXCEDERÁ LA RESPONSABILIDAD DEL PROVEEDOR AL CLIENTE POR CUALQUIER RECLAMO DE CUALQUIER TIPO O DESCRIPCIÓN UNA SUMA IGUAL A LA SUMA TOTAL DE LOS HONORARIOS PAGADOS POR EL CLIENTE AL PROVEEDOR POR EL PROGRAMA DURANTA LOS SEIS MESES ANTES DE LOS HECHOS QUE DAN LUGAR A CUALQUIER RECLAMO DEL CLIENTE.

9.3. El Cliente acepta que cualquier reclamo que pueda tener contra el Proveedor que surja de, o de alguna manera sea relacionado a, este Acuerdo se presentará individualmente y no unirá dicho reclamo con reclamos de ninguna otra persona o entidad o someterá, se unirá o participará en una demanda judicial colectiva contra el Proveedor.

10. ELECCIÓN DE LEY, MEDIACIÓN OBLIGATORIA, ARBITRAJE Y COSTOS Y HONORARIOS DE LAS PARTES PREVALECIENTES

10.1.     Elección de ley: Este Acuerdo se regirá e interpretará de acuerdo con las leyes del estado de Florida, excluyendo los principios de elección de ley de Florida, y todos los reclamos relacionados con o que surjan de este Acuerdo, o el incumplimiento del mismo, ya sea que sean reclamos de incumplimiento de contrato, reclamos basados en un agravio o de cualquier otro tipo de reclamo, también se regirán por las leyes del estado de Florida, excluyendo los principios de elección de ley de Florida.

10.2.     Acuerdo de Arbitraje: Las partes acuerdan que el arbitraje será el método exclusivo por el cual resolverán cualquier reclamo y acuerdan específicamente que no presentarán una demanda judicial para resolver ningún reclamo.  POR LA PRESENTE, LAS PARTES RENUNCIAN AL DERECHO DE BUSCAR LA RESOLUCIÓN DE CUALQUIER DISPUTA QUE SURJA DE O ESTÉ RELACIONADA CON ESTE ACUERDO, O EL INCUMPLIMIENTO DEL MISMO, EN UN TRIBUNAL DE JUSTICIA, POR JUCIO CON UN JURADO O UNA OFICINA ADMINISTRATIVA QUE TENGA JURISDICCIÓN SOBRE LA DISPUTA. EN VEZ, CUALQUIER DISPUTA DEBE RESOLVERSE MEDIANTE ARBITRAJE COMO SE ESTABLECE EN ESTE ACUERDO. Sin limitar la aplicabilidad del acuerdo de arbitraje, si el litigio que surge de este Acuerdo procede en un tribunal de justicia, debe tener lugar en los tribunales estatales y federales del Estado de Florida ubicados en Sarasota, Florida.

10.3.     Costos y honorarios de la parte prevaleciente: En el caso de que se presente un reclamo para hacer valer los derechos en virtud de este Acuerdo o un reclamo que surge de este Acuerdo, la parte ganadora tendrá derecho a recuperar sus costos y gastos, incluidos, entre otros, los honorarios razonables de abogados, incurrido en la reclamación ganadora.  Un árbitro puede otorgar a la parte ganadora los costos y honorarios de abogados.

10.4.     Negociaciones y mediación obligatorias: Si surge una disputa relaciona con este Acuerdo, o el presunto incumplimiento del mismo, y si la disputa no puede resolverse a través de negociaciones directas entre las partes dentro de 60 días, las partes acuerdan que primero deben intentar resolver la disputa mediante una mediación administrada por JAMS Miami Mediación, Arbitraje y Servicios de ADR antes de recurrir al arbitraje según lo establecido en este Acuerdo.  Una solicitud de mediación se hará por escrito, se entregará a la otra parte del Acuerdo y se presentará ante JAMS Miami Mediation, Arbitration and ADR Services. Cada una de las partes será responsable por la mitad de todos los costos relacionados con la mediación.

10.5.     Falta de mediación y renuncia a los costos y honorarios de la parte prevaleciente: El hecho de que una parte prevaleciente no participe en mediación antes de iniciar un arbitraje o intentar iniciar cualquier otra acción legal evitará que esa parte recupere los costos y honorarios de abogados.

10.6.     El proceso de arbitraje:  Las partes acuerdan que cualquier disputa que surja de o esté relacionada con este Acuerdo, o el incumplimiento del mismo que se resuelve a medio de negociaciones directas o a medio de mediación, se resolverá únicamente mediante arbitraje administrado por JAMS Miami Mediación, Arbitraje y Servicios de ADR de acuerdo con los Procedimientos de Arbitraje Acelerado de JAMS en vigor en el momento en que se inicie el arbitraje.

10.7.     Un Árbitro: El arbitraje será conducido por solo un árbitro.  El árbitro será seleccionado por mutuo acuerdo de las partes o, si no se puede llegar a dicho acuerdo, la selección será de acuerdo con las reglas de JAMS para la selección de un árbitro.

10.8.     Sentencia sobre Laudo Arbitral: El laudo dictado por el árbitro puede ingresarse como sentencia en cualquier tribunal que tenga jurisdicción sobre la disputa.  Las partes entienden que el laudo arbitral es definitivo y vinculante y que renuncian a sus derechos de apelación.

10.9.     Costos de arbitraje:  Cada una de las partes será responsable de la mitad de todos los honorarios relacionados con el arbitraje, incluidos los relacionados con el costo del árbitro.

10.10.  No consolidación de reclamos o reclamos colectivos: El Cliente acepta que cualquier reclamo que el Cliente pueda tener contra el Proveedor que surja de, o de alguna manera sea relacionado con, este Acuerdo se presentará individualmente y el Cliente no unirá dicho reclamo con reclamos de ninguna otra persona o entidad y no presentara o unirá o participará en una demanda colectiva contra el Proveedor.  Ningún tribunal o árbitro tendrá la autoridad para consolidar reclamos o certificar una clase de reclamos.

11. INDEMNIZACIÓN. El Cliente acepta indemnizar, proteger, defender y mantener al Proveedor (incluyendo sus directores, funcionarios, agentes y empleados) indemne de todas y cada una de las responsabilidades, daños, pérdidas, demanda judicials, costos y gastos (incluyendo los honorarios de abogados), que surjan de o estén relacionados a los Servicios.

12. TÉRMINOS GENERALES.

12.1. No elección de recursos. Salvo que se establezca expresamente en este Acuerdo, el ejercicio por El Proveedor de cualquiera de sus recursos proveídos por virtud de este Acuerdo será sin perjuicio del uso de otros recursos proveídos por virtud de este Acuerdo o disponibles por ley o en equidad.

12.2. Asignación. El Cliente no puede ceder ni transferir ninguno de los derechos del Cliente ni delegar ninguna de las obligaciones del Cliente creadas por virtud de este Acuerdo, en su totalidad o en parte, sin el consentimiento previo expreso por escrito del Proveedor. Cualquier intento de cesión, transferencia o delegación por parte del Cliente, sin dicho consentimiento, será nulo al inicio. Bajo estos términos, este Acuerdo será vinculante y concede beneficios a los sucesores y cesionarios autorizados por las partes.

12.3. Modificaciones por el Proveedor. El Proveedor se reserva el derecho de modificar este Acuerdo en cualquier momento sin el consentimiento previo del Cliente. Cualquier modificación a este Acuerdo, que ocurra de vez en cuando, entrará en vigencia a partir de la fecha de publicación de la modificación en Raulluna.com o en el momento de la entrega de una notificaron actual al Cliente.

12.4. Remedios equitativos. El Proveedor tendrá derecho a hacer cumplir este Acuerdo y cualquiera de sus provisiones por mandato judicial, desempeño específico u otro recurso equitativo, además de todos los demás recursos que el Proveedor pueda tener por incumplimiento de este Acuerdo.

12.5. Divisibilidad. Si algún termino de este Acuerdo se considera inválido o inaplicable por un árbitro o tribunal de jurisdicción competente, los términos restantes del Acuerdo permanecerán en plena vigencia y efecto, y el termino afectado se interpretará de manera que sea exigible en la máxima medida permitida por la ley.

12.6. Notificaciones. Todas los notificaciones requeridas o permitidas bajo este Acuerdo serán por escrito y entregadas por mensajería o servicio de entrega al día siguiente, o por correo certificado, y en cada caso se considerarán entregada al ser recibidas. Las notificaciones dirigidas al Cliente se enviarán a la dirección del Cliente indicada en el Formulario de Registro del Programa. Las notificaciones dirigidas al Proveedor deberán ser enviado a Raul Luna Academy, LLC, 5342 Clark Road #3108 Sarasota FL 34233. Cada parte puede cambiar su dirección para recibir notificaciones mediante una notificación del cambio de dirección de acuerdo con esta sección.

12.7. Acuerdo completo. Este Acuerdo, que se compone de estos Términos y Condiciones y el Formulario de Registro del Programa, constituye el entendimiento completo y exclusivo y el acuerdo de las partes con respecto al tema del presente Acuerdo y reemplaza a todos los entendimientos y acuerdos anteriores, ya sean escritos u orales, con respecto al tema de este Acuerdo. Cualquier renuncia o modificación de cualquier termino de este Acuerdo será efectivo solo si está por escrito y firmado por las partes del Acuerdo.

12.8. Renuncia. La renuncia a un reclamo por cualquier incumplimiento de cualquier termino de este Acuerdo no constituirá una renuncia a un reclamo a cualquier incumplimiento posterior del mismo u otro término del Acuerdo.

12.9. Asesoramiento Independiente. El Cliente reconoce y acepta que se le ha otorgado la oportunidad de obtener asesoramiento legal independiente y confirma mediante la ejecución de este Acuerdo que el Cliente lo ha hecho o ha renunciado a su derecho a hacerlo en relación con ser parte de este Acuerdo.

12.10. Versión inglesa. En caso de que cualquier traducción de este Acuerdo que se prepare por conveniencia del Cliente o para cualquier otro propósito, prevalecerán los términos de la versión en inglés.
